Patrick, I'm not sure if it's a server you can try it on, but maybe try renaming the existing audit database and create a new empty one from scratch and let Cognos create the schema. Then see if subsequent restarts give you that message.
When I upgraded from 11.1.7 to 11.2.4 I got that message. My audit database was 65GB. I googled on that message and also read that the upgrade will continue to run in the background once the server starts - the length of time required obviously dependent on the size of the audit database. So it's possible the upgrade is failing or not completing before the next restart in your case.
I decided with my upgrade to start with a brand new audit database instead of the hassle/risk of the auto upgrade. Sure I lost the history but if needed I could always restore it to my dev server and let it try the upgrade there OR restore it to a different database name and manually query it.

"The logging database schema will be upgraded. The upgrade may take a substantial amount of time based on the number of logging databases and database entries."
Each time I restart, I have this message. It seems no upgrade is happening.
Any idea?
